Terms of Service

1. About these terms

These Terms govern your use of CRgraM Cloud software and related services provided by CRgraM Cloud ("we", "us", "CRgraM Cloud"). By using CRgraM Cloud, you agree to these Terms.

If you have signed a separate Commercial License Agreement or Enterprise Order Form with us, those terms govern in addition to (or in conflict, superseding) these Terms.

2. Two licenses, your choice

CRgraM Cloud is dual-licensed. Your use falls under exactly one of:

  • AGPL-3.0 Community Edition. Free, open-source. You self-host, register your own Telegram api_id, supply your own AI keys, operate your own VPS. Subject to the terms of the GNU AGPL-3.0 (see LICENSE in the source).
  • Commercial Managed Edition. Paid subscription. We provision and operate your VPS, push updates, provide support. Subject to the COMMERCIAL-LICENSE.txt and these Terms.

3. Your responsibilities

Regardless of which license you use:

  • You must comply with the Telegram Terms of Service. Including the Telegram Terms, the API Terms, and the Content Licensing and AI Scraping Terms. We are not responsible for any action Telegram takes against your account.
  • You are responsible for your Telegram credentials. We never see them. If they leak from your VPS due to your misconfiguration, that's your responsibility.
  • You are responsible for your AI API key. You pay the AI vendor directly. We do not mediate disputes between you and Z.AI or Anthropic.
  • You must not use CRgraM Cloud to violate applicable law. Including data protection law, financial regulation, anti-spam law, and the laws of the jurisdiction where you operate.
  • You must not modify CRgraM Cloud to bypass the group-size cap or to ingest public channels. These constraints exist for TOS-defensibility (see our security page). Bypassing them may render you liable to Telegram and to us.

4. Acceptable use

You agree NOT to:

  • Use CRgraM Cloud to scrape, index, or harvest public Telegram channels or large public groups.
  • Resell, sublicense, or re-host CRgraM Cloud as a service to multiple organizations (unless licensed under commercial terms that permit it).
  • Remove or obscure copyright, trademark, or attribution notices in the software.
  • Circumvent license-verification or update-distribution mechanisms (commercial tier).
  • Use CRgraM Cloud to process Telegram data belonging to parties other than yourself, your employees, or (in agency deployments) a single contracted client.
  • Use the "CRgraM Cloud" name or marks in a misleading, defamatory, or unlawful manner.

5. Subscriptions, billing, refunds

  • Subscription billing. Recurring monthly or annual. Billed in advance via Stripe.
  • Onboarding fee. One-time, charged at signup. Covers AI backfill + setup + first-week support. Non-refundable once backfill has started.
  • Refunds. 30-day money-back guarantee on your first month of subscription. After that, no refunds for partial months. Annual plans: pro-rated refund if cancelled, less the discount applied.
  • Founding customer pricing. Discounted rates offered to first 20 paying customers are honored for the life of the account, conditional on continued compliance with these Terms.
  • Fee changes. We may change fees with 30 days' notice. Existing subscriptions are grandfathered at the original rate until renewal.

6. Cancellation and termination

  • You can cancel any time from your billing settings or by emailing billing@crgram.com. Access continues until end of paid period.
  • We can terminate for breach. With 30 days' notice to cure, or immediately for serious breach (non-payment, illegal use, TOS violation).
  • On termination: your VPS continues running the last version you received during your subscription, in perpetuity, in compliance with these Terms. OTA updates and Vertical Packs are deactivated. You can export your data via the wizard.
  • Data after termination: your data lives on your VPS — it's yours. We can't access or delete it. We will destroy encrypted backup blobs in our B2 account within 90 days.

7. Service availability

CRgraM Cloud is provided "as is" without warranty of availability. The managed tier targets 99.5% uptime excluding scheduled maintenance, but we do not warrant uninterrupted operation. The AGPL community edition comes with no availability commitment whatsoever.

8. Intellectual property

  • Software: AGPL-3.0 for community edition source. Commercial edition governed by separate license. See licensing page.
  • Trademarks: "CRgraM Cloud" and associated marks are property of CRgraM Cloud Limited use granted to commercial customers to identify their deployment.
  • Your data: Yours. Always. We claim no rights to it (and can't access it anyway).
  • Feedback: If you give us product feedback, we may use it without obligation.

9. Disclaimer of warranties

CRGRAm CLOUD IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL OPERATE ERROR-FREE OR MEET YOUR REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Telegram

CRgraM Cloud is not affiliated with, endorsed by, or sponsored by Telegram. "Telegram" is a trademark of Telegram FZ-LLC. CRgraM Cloud is an unofficial Telegram client that interoperates with Telegram via the MTProto API, in compliance with the Telegram API Terms of Service. You are solely responsible for your compliance with Telegram's terms.

12. Governing law

These Terms are governed by the laws of the operator's jurisdiction of registration The courts of have jurisdiction over any dispute. EU consumer protections apply to EU consumers; nothing in these Terms limits any non-waivable consumer rights you may have.

13. Changes to these terms

We may update these Terms. Material changes communicated by email to active customers at least 30 days before effective date. Continued use after effective date constitutes acceptance.
